USE OF THE WEBSITE SIGNIFIES YOUR AGREEMENT TO THE TERMS AND CONDITIONS OF THIS USER AGREEMENT AND
OUR PRIVACY POLICY. PLEASE READ THE FOLLOWING INFORMATION CAREFULLY.
UCCSource, LLC (hereinafter, "UCCSource") reserves the right to
change this User Agreement at any time and without prior notice. Any modifications to the User Agreement will be
posted and will take effect at 12:00 midnight EST the date of posting.

UCCSource, the UCCSource website (http://www.uccsource.com) (hereinafter, the "Website"), and the information provided thereon have been created to
provide an online Uniform Commercial Code filing office directory with general filing office contact information, official website links and
links to state provided Uniform Commercial
Code financing statement forms, online filing and online search pages, if any.
UCCSource is not a law firm and cannot provide you with specific legal advice, recommendations, or counseling under any circumstances.
UCCSource and its employees, agents, representatives, sales associates and advisors are not acting
as your attorney and therefore no attorney-client relationship exists.
This Website should not be
used as a substitute for legal advice from an attorney and users should consult with legal counsel
if they need legal advice.
State filing requirements may change frequently, and it is your responsibility to ensure that you comply with applicable laws.
UCCSource was designed for professionals. You are solely responsible for any conclusions,
direction, order, and actions taken while using the Website.
- General.
This User Agreement sets forth the terms and conditions that apply to your use of the Website
and the publicly available information thereon which has been compiled and conveniently organized and
provided to you by UCCSource (hereinafter, the "Information").
If you do not agree to be bound by the terms and conditions of this User Agreement,
YOU MUST DISCONTINUE YOUR USE OF THE WEBSITE AND INFORMATION IMMEDIATELY.
- Permitted Uses and Restrictions.
This Agreement allows
you to use the Information. The Information and all artwork, logos, phrases, documentation, layout, format, code and software whether
on disk, in read-only memory, on any other media or in any other form (individually and collectively, referred to
herein as the "Content") are licensed, not sold to you by UCCSource for your use under the terms of this Agreement.
UCCSOURCE RESERVES ALL RIGHTS NOT EXPRESSLY GRANTED TO YOU HEREIN.
The rights granted to you herein are limited to UCCSource's intellectual property rights in the
Content and do not include any other patent, copyright, trademark or other intellectual property rights owned by
third parties. The Website is operated by UCCSource and contains material that is derived in whole or in part from
materials supplied by third party sources as well as material owned by UCCSource. The use of such third party material
is subject to the license to use by such third parties.
Except as, and only to the extent, expressly permitted in this Agreement or by applicable law,
you must not copy, decompile, reverse engineer, disassemble, modify, or create derivative works of
the Website, Information, Content or any part thereof.
As part of the Content, you will be provided with information
that includes editorial content, links to other websites and/or any other computer
services that UCCSource may decide to offer, subject to the terms hereof.
Use of any and all third party sites
is pursuant to the terms of use contained therein. UCCSource may, in its
sole discretion, discontinue or alter any aspect of the Content, including, but not limited to,
(a) restricting the time of availability, (b) restricting the availability and/or scope of the
Information for certain platforms (ie, computer types and operating systems), (c) restricting the
amount of use permitted, and (d) restricting or terminating any User's right to use all or part
of the Information, at any time, in UCCSource's sole discretion and without prior notice or liability.
UCCSource reserves the right to change, suspend, terminate, remove, or disable access to the Content
at any time, without notice.
- PRIVACY POLICY - Consent to Use of Data.
You agree that UCCSource,
its agents and its subsidiaries may collect
and use technical and related information, including but not limited to technical information
about your computer and your IP address that is gathered
periodically to facilitate the enhancement of the Website, technical support and/or any other services
that may be provided to you (if any) related to the Website and/or to verify compliance with the terms of this
User Agreement. UCCSource may use this information, as long as it is in a form that does not personally
identify you, to improve products or to provide additional services or technologies to you.
- Disclaimer of Warranties.
NO CONTENT IS GUARANTEED AND ALL CONTENT IS PROVIDED FOR YOUR CONVENIENCE. YOU ACKNOWLEDGE AND AGREE
THAT UCCSOURCE DOES NOT GUARANTEE ACCURACY.
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE CONTENT IS AT
YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU.
The Content is provided "AS IS", with all faults and without
warranty of any kind, and UCCSOURCE (for the purposes of Sections 8 and 9) HEREBY DISCLAIMS ALL
WARRANTIES AND CONDITIONS WITH RESPECT TO THE CONTENT, EITHER EXPRESS, IMPLIED OR STATUTORY,
INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF
SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND
NON-INFRINGEMENT OF THIRD PARTY RIGHTS. UCCSOURCE DOES NOT WARRANT AGAINST INTERFERENCE WITH YOUR
ENJOYMENT OF THE CONTENT, THAT THE FUNCTIONS CONTAINED IN THE CONTENT
WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE WEBSITE WILL BE UNINTERRUPTED
OR ERROR-FREE, OR THAT DEFECTS IN THE CONTENT WILL BE CORRECTED.

contact information, however caused, regardless of the theory of liability (contract,
tort or otherwise) and even if UCCSource has been advised of the possibility of such damages.
SUCH LIMITATION OF LIABILITY SHALL APPLY WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF AND
RELIANCE ON THE CONTENT, FROM INABILITY TO USE THE CONTENT, OR
FROM THE INTERRUPTION, SUSPENSION, OR TERMINATION OF THE CONTENT (INCLUDING SUCH DAMAGES
INCURRED BY THIRD PARTIES).
THIS LIMITATION SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY

THIS LIMITATION
SHALL ALSO APPLY, WITHOUT LIMITATION, TO THE COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES,
LOST PROFITS, OR LOST DATA. SUCH LIMITATION SHALL FURTHER APPLY WITH RESPECT TO THE PERFORMANCE
OR NON-PERFORMANCE OF THE WEBSITE OR ANY INFORMATION OR MERCHANDISE THAT APPEARS ON, OR IS LINKED
TO, OR RELATED IN ANY WAY TO, THE WEBSITE.
SUCH LIMITATION SHALL APPLY NOTWITHSTANDING ANY FAILURE
OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND TO THE FULLEST EXTENT PERMITTED BY LAW.
Without limiting the foregoing, under no circumstances shall UCCSource be held liable for any
delay or failure in performance resulting directly or indirectly from acts of nature, forces, or
causes beyond its reasonable control, including, without limitation, Internet failures, computer
equipment failures, telecommunication equipment failures, other equipment failures, electrical
power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of
labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions,
orders of domestic or foreign courts or tribunals, non-performance of third parties, or loss of
or fluctuations in heat, light, or air conditioning.
In no event shall UCCSource's total liability to you for any damages (other than as may be
required by applicable law in cases involving personal injury) exceed five
dollars ($5). The foregoing limitations
will apply even if the above stated remedy fails of its essential purpose.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL
OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU.
- Controlling Law.
This Agreement
will be governed by
and construed in accordance with the laws of the State of Delaware without regard to its conflict of
laws provisions. You agree to the personal jurisdiction by and venue in the state and federal courts in
New Castle County, Delaware, and waive any objection to such jurisdiction or venue. Any claim under this Agreement
must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred.
In the event of any controversy or dispute between UCCSource and you arising out of or in connection with your use of
the Site, the parties shall attempt to resolve such dispute in good faith. If we are unable to resolve any such dispute
within 30 days, then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved
through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.
- Indemnity.
You agree to indemnify, defend and hold harmless UCCSource, its parent companies, subsidiaries, affiliated companies,
joint venturers, business partners, licensors, employees, agents,
from and against all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental,
consequential, exemplary and indirect damages), and reasonable attorneys' fees, resulting from or arising out of your
use, misuse, or inability to use the Website or the Content, or any violation by you of this Agreement.
- Complete Agreement.
This Agreement constitutes the entire agreement between the parties with respect to the use of
the the Website hereunder, with the exception of any additional terms and/or conditions you are
required to accept
if you choose to use third-party websites.
No amendment to, or modification of, this Agreement will be binding unless in writing and posted by
UCCSource.
- Severability.
If, for any reason, a court of competent jurisdiction
finds any provision of this Agreement, or portion thereof, to be unenforceable, the remainder of this Agreement shall
continue in full force and effect.
By using the Website, you agree to these Terms of Use and will be bound thereto with regards to your use of the site.
